Terms of Service

1. Acceptance of Terms

By accessing or using the NEIGHPalm platform ("Service"), operated by NEIGH Consulting LTD ("NEIGH", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Service.

2. Description of Service

NEIGHPalm is a governance, risk, and compliance (GRC) platform provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEIGH CONSULTING LTD, ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

NEIGH's total aggregate liability for any claims arising from or related to the Service shall not exceed the amount paid by you, if any, to NEIGH for the Service during the twelve (12) months preceding the claim.

4. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEIGH does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Use of the Service is at your sole risk.

5. Prohibited Activities — Automated Scanning, Crawling & AI Access

You shall not, and shall not permit any third party to:

• Scan or probe the Service using automated vulnerability scanners, security assessment tools, penetration testing tools, or any similar software without prior written authorisation from NEIGH.
• Crawl, scrape, or spider any part of the Service, including but not limited to using web crawlers, bots, scrapers, indexing agents, or data extraction tools.
• Map, enumerate, or fingerprint the Service's infrastructure, APIs, endpoints, network topology, technology stack, or internal architecture.
• Connect AI tools, language models, agents, or automated systems to the Service except through officially designated APIs provided by NEIGH for that express purpose. Unauthorised AI connectivity — including training, fine-tuning, retrieval-augmented generation (RAG), embedding extraction, or any form of automated data ingestion — is prohibited.
• Reverse-engineer, decompile, or disassemble any part of the Service, its source code, algorithms, or data models.

All prohibited activities described above are actively monitored and governed. NEIGH reserves the right to immediately suspend or terminate access, block offending IP addresses, and pursue legal remedies including injunctive relief and damages for any violation of this section.

6. Intellectual Property

The Service, including all software, content, design, architecture, algorithms, data models, documentation, and trade secrets, is the exclusive property of NEIGH Consulting LTD and is protected by copyright, trademark, trade secret, and other intellectual property laws. All rights are reserved. No licence or right is granted except the limited right to use the Service in accordance with these Terms.

7. User Obligations

• You are responsible for maintaining the confidentiality of your account credentials.
• You shall not use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• You shall not attempt to gain unauthorised access to any part of the Service or its related systems.
• You are responsible for the accuracy and legality of the data you submit to the Service.

8. Indemnification

You agree to indemnify, defend, and hold harmless NEIGH Consulting LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

NEIGH may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and prohibited activities shall survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
